Our total liability shall not exceed the amount you paid us (if any) in the six months preceding the event giving rise to liability, or $100 USD, whichever is greater. This limitation applies even if we have been advised of the possibility of such damages.

12. Termination

13. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Dispute Resolution: Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good faith negotiation. If unresolved, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA) in San Francisco, California.

Class Action Waiver: You agree that any proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

European Residents: If you are an EU resident, you may also have the right to bring proceedings in the courts of your country of residence. Consumer protection laws of your country may apply where they cannot be derogated from by agreement.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable. The invalid provision shall be replaced by a valid provision that comes closest to the original intent.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SparkSail Navigator regarding the Service and supersede all prior agreements and understandings, whether written or oral.
